The general terms and conditions explained below govern the sales of products displayed in the shop area of our website. Please note that the purchase process is not carried out through this website but will take place through an exchange of communications sent by e-mail, as specified more clearly below.

Therefore, by browsing www.stellamilani.it you can view our products and place an order request, but the contract will be finalised following contacts that will take place by e-mail.

DEFINITIONS

Seller: is our company, Stella Milani srl, from now on also referred to as Stella Milani.

Client: is the legal person (company, sole proprietorship) or the professional, who acts for purposes related to the entrepreneurial, commercial, craft or professional activity carried out, making proposals for the purchase of products displayed on this website.

General terms and conditions of sale or also "terms and conditions": this document governs the distance selling of Stella Milani branded products.

Purchase proposal or even just proposal: is the contractual proposal that the customer addresses to our company, through this website.
Contract of sale: is the agreement between us and the customer, which is finalised when we send confirmation of receipt of payment of the price for the items ordered to the e-mail address provided by the customer. The conclusion of the contract will take place through an exchange of e-mail communications, the latter of which will have as its object the acceptance of the proposed purchase formulated by the customer and the communication of the successful payment of the price.

Products/items/goods/merchandise: these are the garments sold by our company Stella Milani.

Shop/Reserved Area: is the reserved area, present on our website, which customers can only access, after we have authorised their registration request.
Product sheets: the pages, or portions of them, of our website that contain photos and descriptions of our products and of their price; these are essential and integral components of these terms and conditions of sale.
Summary of the proposal: is the communication sent by our company to the e-mail address of the customer, containing the summary of the purchase proposal. In the same communication we will inform the customer that their proposal is being verified and that they will receive a response within 24 hours.
Request for payment: is the communication that our company will send to the customer, after having carried out verifications as requested by our trade policy. This communication will provide details for the payment of the goods, which must be made by bank transfer.

Acceptance of the order: tour company will send this document to the customer's e-mail address in order to communicate that we have correctly received the payment due. This communication concludes the process of contract formation and will also contain a link to these general terms and conditions.
User account: profile created by the customer, containing the information required by the form during registration.

Shopping Cart: page summarising the products chosen by the customer.

TRADE POLICY

Our company Stella Milani offers its products only to professional customers over 18. According to the Italian Law, we do not target natural persons as consumers through our website.

Our commercial proposal is addressed geographically to the European Union, Switzerland, England, Russia, Ukraine and the United States.

In order to access the shop area of the website and view our collections and their prices, the customer will have to make a registration request, which will remain pending approval until we have carried out the necessary internal verifications.

This means that it will always be possible to navigate freely in the public area of our website but, in order to have access to the reserved area, the customer will have to make a registration request by filling in a special form. Only after our approval - which we will communicate by sending an e-mail to the address provided by the customer - the latter will be admitted to the shop area.

We reserve the right to refuse requests for access to the private area or purchase proposals that do not comply with our commercial policy and our corporate standards.

REGISTRATION ON THE WEBSITE

To view our collections and to make a purchase proposal, the customer must access the B2B section of the site www.stellamilani.it.

This section can be accessed only after registration, through the creation of a personal account.

For this purpose, the customer must fill in the form, providing the information requested there and choosing their login credentials, consisting of an e-mail and a password.

The customer agrees to keep the credentials confidential and not to allow third parties to access their account without permission.

While completing the registration process, the customer has to follow the instructions on the website and to provide their personal information correctly and truthfully.

Our company will communicate the approval of the registration request by sending an e-mail communication to the address provided by the customer.

Following approval, the customer will be able to access the shop area, view our collections and make purchase proposals using their username and password.

Stella Milani shall be relieved of any responsibility arising from the data provided by the customer; if the customer provides inaccurate or incomplete data, the registration request first or the purchase proposal later, will be suspended until the the customer provides correct and complete data.

PURCHASING PROCESS

As anticipated, the purchase process does not end through this website.

Once registered, the customer will be able to enter the shop area and select the goods of their interest, inserting them in the shopping cart. Please note that the images of our garments may not correspond to the real ones, with regard to colors and finishes, due to different Internet browsers and/or monitors used for viewing.

Once the customer has chosen all the products, they will select the button "go to checkout" and will be directed to the page containing the billing information, which must be correct and true.

In the next step of the process, the customer will be directed to the page of shipments, which will be at the customer's expences. Stella Milani, in fact, only allows the collection of goods at its headquarters and does not provide shipping service and home delivery.

The next step will propose the method of payment, which must necessarily take place by bank transfer.

Finally, the system will generate a summary page. The customer will have to verify that all the information is correct and will proceed with the forwarding of the order, thus only after having accepted the present general terms and conditions.

At the same time the customer will receive an e-mail communication defined "summary of the proposal" containing: the essential elements of the order formulated and the warning that our company will need to make some verifications and will answer to the proposal within 24 hours.

Once the verifications described in our commercial policy have been successfully completed, the customer will receive an e-mail communication defined as "payment request", containing the bank details to make the payment of the goods.
Once the payment has been successfully completed, within 7 days from receipt of the e-mail described above, we will inform the customer that the sale contract can be considered concluded and they will be able to organize the collection of the goods at our premises.

PRICES, TAXES AND DUTIES
The prices of all our articles are indicated in euros and are inclusive of Italian taxes and duties.
The customer has to pay taxes, charges, custom duties and fees that should be charged in addition to Italian products exported towards the country of destination.PAYMENT METHODS
As anticipated in the paragraph dedicated to the purchase process, the payment of our goods can only be made by bank transfer.
With the e-mail communication defined "payment request" we will provide the customer with the details to make the payment of the chosen products, which must be made within 7 days from the above mentioned communication.
Only after the payment has been successfully completed within the requested term, the sales contract will be finalised. This means that if payment is not made within 7 days, the contract will not be concluded and the order will be cancelled. Therefore, we will be free from any obligation towards the customer, who will have no guarantee that the chosen goods are still available.

COLLECTION OF THE PURCHASED GOODS

Only after receiving the e-mail communication defined "acceptance of the order", the customer can contact us at the addresses on the website (including e-mail info@stellamilani.it) to arrange the collection of the goods. We will inform the customer about the time required to prepare the packages and their dimensions, so that the customer can organise the collection.

Stella Milani fulfills its obligation to deliver the goods at the very moment when the goods are transferred to the customer, who at the same time assumes the risk of loss or damage.

WARRANTIES FOR DEFECTS

Our company warns customers that its products are handcrafted and therefore by their nature may have slight differences from each other and some imperfections.

These possible discrepancies in drawings or colors, compared to the model presented in the product sheet, do not affect the functionality and image, and can not therefore be considered defects or faults.

Instead, in case the products are affected by flaws and /or defects, the rules of the Civil Code on the subject, to which reference is made, shall be applied.

APPLICABLE LAW AND COMPETENT COURT

Our general terms and conditions of sale are interpreted and regulated by Italian law and, in particular, by the Civil Code and by Legislative Decree no. 70/2003, as far as it is concerned.

Italian jurisdiction will be applied and the Court of Prato will be competent for any controversy that may arise in relation to what is indicated in these general terms and conditions or with reference to the purchases concluded according to the modalities prescribed herein.

This shall be without prejudice to any rights conferred on customers by mandatory provisions of law in force in their country of residence.
